Consulting Services Terms and Conditions v3.1

1. Agreement

These terms apply to consulting services supplied by Felicity Global.

Your accepted proposal, consulting agreement or Project Plan defines the scope, deliverables, responsibilities, fees and schedule.

If documents conflict, your signed consulting agreement takes priority, followed by the Project Plan and these terms.

2. Consulting Services

Services include the activities expressly listed in your Project Plan, such as business reviews, AI strategy, technology assessments, workflow design, solution recommendations, implementation planning and project guidance.

Implementation, software development, ongoing support and managed services require separate agreement unless expressly included.

3. Scope and Deliverables

The Project Plan identifies the work, deliverables, assumptions, dependencies and completion criteria.

Recommendations are based on the information available during the engagement. You remain responsible for business decisions and approval of recommended actions.

Any material change to scope, fees or timing requires written acceptance by both parties before the additional work begins.

4. Client Responsibilities

You must provide accurate information, timely access to relevant systems and staff, and an authorised contact responsible for decisions and approvals.

You must hold the permissions required to share information and grant system access.

If missing information or delayed approvals affect delivery, we will explain the impact and agree on revised arrangements. Additional charges require your approval.

5. Authority

Our authority is limited to the activities stated in the Project Plan.

We will not enter contracts, purchase products, commit expenditure or make material changes to your systems without written authorisation.

Access to your systems does not provide unrestricted authority to act on your behalf.

6. Fees and Expenses

Fees, billing arrangements, payment terms and GST treatment are stated in your consulting agreement or Project Plan.

Unless otherwise agreed, invoices are payable within 14 days.

Travel, accommodation, third-party services and other expenses require prior written approval.

Notify us promptly of disputed charges. Undisputed amounts remain payable while we investigate.

7. Timing and Acceptance

We will perform the services according to the agreed schedule and advise you promptly of circumstances affecting delivery.

Deliverables will be assessed against the acceptance criteria in the Project Plan. You should identify any material failure to meet those criteria within 10 business days of delivery.

We will correct work which fails to meet the agreed scope without additional professional fees.

New requirements are managed as scope changes.

Payment or silence alone does not waive your rights regarding defective services.

8. Professional Standards and Outcomes

We will provide consulting services with due care and skill.

Forecasts, savings estimates and business cases depend on stated assumptions. Specific revenue, cost savings, funding approvals or other commercial outcomes are not guaranteed unless expressly agreed.

Legal, tax, financial and regulatory advice is outside scope unless expressly provided by an appropriately qualified professional under a separate agreement.

9. Third-Party Recommendations

We will explain material assumptions and dependencies affecting supplier or technology recommendations.

You approve third-party purchases and contracts unless you expressly authorise us to act.

We will disclose any referral fee, commission or other material commercial interest relevant to our recommendations before you decide.

10. Confidentiality and Privacy

Each party must protect confidential information received during the engagement and use such information only for authorised purposes.

Disclosure is permitted to personnel and approved service providers who need access and are bound by suitable confidentiality obligations, or where required by law.

We will apply reasonable security measures and promptly notify you of a security incident affecting information entrusted to us.

Your confidential information will not be entered into public AI tools or used to train general-purpose AI models without your written consent.

11. Intellectual Property

You retain ownership of your existing information, records and materials.

Felicity Global retains ownership of its existing methods, templates, tools and know-how.

Unless otherwise agreed, ownership of deliverables created specifically for you transfers to you once the relevant fees are paid. We grant you an ongoing licence to use any Felicity Global materials embedded in those deliverables for your business purposes.

Third-party materials remain subject to their applicable licence terms.

12. Records and Publicity

We will return or securely delete your confidential information after the engagement according to the agreed retention arrangements, except where lawful retention is required.

We will obtain your written consent before using your name, logo, project details or results in marketing or case studies.

13. Suspension and Termination

Either party is entitled to end the engagement on 14 days’ written notice unless a different notice period is agreed.

You must pay for work properly completed up to termination and approved, unavoidable commitments already incurred. Fees for unperformed work will not become automatically payable.

Unused advance payments will be refunded after deducting amounts properly due.

Either party is entitled to terminate for a material breach which is not resolved within 14 days after written notice.

We are entitled to suspend work for overdue undisputed invoices after written notice and a reasonable opportunity to pay.

14. Handover

On termination, we will provide completed deliverables and reasonably assist with transferring work in progress.

Any additional transition services require an agreed scope and price. Confidentiality and intellectual property obligations continue after termination.

15. Responsibility and Consumer Rights

Each party is responsible for loss caused by its breach, negligence or unlawful conduct, to the extent of its contribution.

Nothing in these terms excludes rights, guarantees or remedies which cannot lawfully be excluded, including applicable Australian Consumer Law rights.

16. Disputes and Changes

Both parties will first attempt to resolve disputes through their authorised representatives. If unresolved within 14 days, they will consider mediation before court proceedings, except where urgent relief is required.

Changes to an existing engagement require written agreement. Website updates do not automatically amend accepted terms.
