AI Agent Terms and Conditions v3.1
1. Agreement
These terms apply to AI agents supplied by Felicity Global.
Your accepted proposal, service agreement or Project Plan defines the agent’s purpose, features, deliverables, permissions, fees and minimum term.
If documents conflict, your signed service agreement takes priority, followed by the Project Plan and these terms.
2. Services
Your AI agent performs the tasks expressly listed in your Project Plan.
Services might include customer enquiries, lead qualification, appointment booking, document collection, follow-up communications, CRM updates and approved business workflows.
Additional features, integrations, development and managed services require an agreed scope and price.
3. Setup and Approval
We will configure and test your agent using approved business information, instructions and workflows.
Before launch, both parties must approve the agreed acceptance criteria, access permissions, escalation procedures and fallback arrangements.
Subscription billing and the minimum term begin on the agreed launch date. Development and setup fees follow the payment milestones in your agreement.
4. Your Responsibilities
You must provide accurate information, authorised system access and a nominated contact for decisions and approvals.
You must promptly advise us of changes affecting the agent’s tasks, business rules or connected systems.
You are responsible for approving business decisions, reviewing escalated matters and obtaining required permissions for information and communications you authorise.
5. Authority and Human Approval
The agent operates only within agreed permissions.
Purchases, payments, refunds, contractual commitments, deletion of records and other sensitive actions require express authorisation and suitable verification controls.
The Project Plan must identify actions requiring human approval and circumstances requiring escalation.
System access does not grant unrestricted authority to act on your behalf.
6. AI Outputs and Performance
AI outputs sometimes contain errors or incomplete information.
We will test agreed workflows, investigate reported faults and correct failures to meet the agreed scope.
You must arrange appropriate human review for decisions affecting legal rights, finances, employment, health or safety.
Specific sales, savings, accuracy levels or business outcomes are guaranteed only where expressly stated in your agreement.
7. Integrations and Third-Party Services
Integrations depend on supported interfaces, valid subscriptions and appropriate access permissions.
Third-party platforms sometimes change their functionality or availability. We will explain material impacts and agree on required changes.
Additional supplier charges require your approval before purchase.
Third-party failures do not remove our responsibility to perform our own agreed duties with reasonable care and skill.
8. Fees and Billing
Setup fees, subscription fees, usage allowances and payment terms are stated in your agreement.
Unless otherwise agreed, subscriptions are billed monthly in advance and approved additional usage is billed weekly in arrears.
Usage charges might include AI processing, calls, messages, storage and third-party services.
Applicable rates must be disclosed before acceptance.
Unless otherwise agreed, invoices are payable within 14 days.
Prices are in Australian dollars. GST treatment is stated in your agreement.
Notify us promptly of disputed charges. Undisputed amounts remain payable while we investigate.
9. Scope and Pricing Changes
Changes to features, permissions, integrations or fees require written agreement during a minimum term.
For ongoing services after the minimum term, we will give at least 30 days’ written notice of proposed price increases or material service reductions. You are entitled to cancel before the change takes effect without an early-exit charge.
Website updates do not automatically amend an existing agreement.
10. Privacy and Confidentiality
Each party must protect confidential information and meet its applicable privacy obligations.
We will access and use your information only to deliver, support and administer the agreed service, as authorised by you or required by law.
Relevant hosting locations, approved service providers, access controls and retention periods will be confirmed before launch.
Your confidential information and customer content will not be used to train general-purpose AI models without separate written consent.
Confidentiality obligations continue after termination.
11. Security and Acceptable Use
We will apply reasonable security controls appropriate to the agreed service.
You must protect credentials, restrict authorised access and promptly report suspected misuse.
The agent must not be used for unlawful activity, deception, harassment, unauthorised surveillance or access to information without permission.
We will promptly notify you of a security incident affecting your service data and cooperate with investigation and required notifications.
12. Support and Maintenance
Support hours, response targets, monitoring and maintenance arrangements are stated in your agreement.
We will provide reasonable notice of planned interruptions and communicate significant service disruptions as soon as reasonably practicable.
Ongoing optimisation, new workflows and changes to business requirements are included only where expressly agreed.
13. Ownership
You retain ownership of your business information and customer records.
Felicity Global and its suppliers retain ownership of their existing software, platforms, templates and tools.
Ownership and usage rights for custom code, configurations and project-specific deliverables must be stated in your Project Plan.
You receive the rights reasonably necessary to use paid deliverables for their agreed purpose, subject to disclosed third-party licence terms.
14. Term and Cancellation
The minimum term, if any, is stated in your agreement.
Unless otherwise agreed, services continue month-to-month after the minimum term and either party is entitled to cancel on 30 days’ written notice.
You are entitled to give notice during the minimum term for cancellation effective at its end.
An early-exit charge applies only if its amount or calculation was expressly agreed before acceptance. Any charge must reflect reasonable unrecovered costs, account for costs saved and exclude penalties. Otherwise, no early-exit charge applies.
15. Breach and Suspension
Either party is entitled to terminate for a material breach which is not resolved within 14 days after written notice.
We are entitled to suspend affected services for an immediate security threat, unlawful use or overdue undisputed invoices.
Except where urgent action is necessary, we will provide written notice and a reasonable opportunity to resolve the issue. Suspension will be limited to what is reasonably necessary.
No early-exit charge applies if you terminate because of our unresolved material breach.
16. Service Exit
On termination, we will reasonably assist with exporting available customer records, handing over agreed deliverables and removing our system access.
Additional transition work requires an agreed scope and price.
Your data will be returned or deleted within the agreed retention period, except where lawful retention is required.
Unused prepaid subscription fees for periods after termination will be refunded, less agreed outstanding charges.
17. Responsibility and Consumer Rights
We will supply services with due care and skill.
Each party is responsible for loss caused by its breach, negligence or unlawful conduct, to the extent of its contribution.
Nothing in these terms excludes rights, guarantees or remedies which cannot lawfully be excluded, including applicable Australian Consumer Law rights.
18. Complaints and Disputes
Send complaints and formal notices to [admin@felicityglbx.com].
Both parties will first attempt resolution through their authorised representatives. If unresolved within 14 days, they will consider mediation before court proceedings, except where urgent relief is required.
